Goal(s)
• Learn about some 'Business Law' rules
• Understand legal risks in engineering professions
• Consider some rules of law as management tools
• Provide tools that allow for legal thinking in the workplace
- to be careful with management about law
Content(s)
This course shows future engineers how legal aspects can be real management tools. Companies are committed to these legal aspects which allow them to take risks whilst being protected in an environment of internationalisation.
The following points are studied:
Introduction (1 hour)
A quick reminder of the judicial organisation and context so that future elements can be developed more clearly.
• General points: sources of law and judiciary organisation
• Settling disputes, in particular in an international context
Contract law (8 hours)
From a legal perspective, we can consider the company as a sum of contracts.
The contract is the 'law' for the person who 'signs' it. Dealing with contracts is risk management.
• Concept of obligation
• Contracts: training periods, development/carrying out, end of contract, penalties, classification
• Some contracts and specific clauses: commercial contracts, factoring contracts, partnership agreements
• Individual work relations: training periods, development/carrying out, end of work contract, specific clauses (invention, mobility, especially non-competition)
Corporate Law (6 hours)
Corporate law is closely linked to economic development and risks taken. Some examples from history will highlight the detailed input.
• Partnership agreement and its effects: legal personality, compulsory elements
• The main social forms (comparing, specific elements)
• Which legal form for a company? (criteria based on contingency)
Industrial Property Rights (6 hours)
Companies (or contractors) must protect their innovations and know-how so as to develop their markets.

• Copyright (software)
Knowledges about firms

-2nd exam period (resits): written exam (MCQ). No documents allowed.
